Terms and Conditions

The Client accepts the following terms and conditions by means of making use of the services of Cowboys 4 Angels and/or its successors, assigns, and/or the legal entities/natural persons affiliated with it.   By accepting services from Cowboys 4 Angels, the parties, including Clients, as defined below, consent the terms and conditions herein and agree to be bound by same.

Definitions

In these general terms and conditions the following terms have the following meanings:

Terms and Conditions: These general terms and conditions apply to all services offered by Cowboys 4 Angels.

Cowboys 4 Angels: The company Cowboys 4 Angels is a Florida limited liability company.

Client: Legal entities as well as natural persons with a minimum age of 21 years who wish to conclude or have concluded an Encounter agreement with Cowboys 4 Angels.

Companion:  The persons engaged by Cowboys 4 Angels with a minimum age of 21 years, who execute an Encounter of the Client out of their own free will. These persons are always independent contractors of Cowboys 4 Angels.

Encounters: The agreement for companionship and all other agreements between the Client and Cowboys 4 Angels.

Encounter Confirmation:  Confirmation via email by Cowboys 4 Angels to the Client in which the agreements withregard to an Encounter between the Client and Cowboys 4 Angels is delineated.

Assignment: Every request from a (future) Client to Cowboys 4 Angels, made via the Website, by email, telephone, text message, or any other means of communication, in which the Client has the intention to make use of Cowboys 4 Angels’ provision of service.

Additional Services: Services provided by Cowboys 4 Angels which do not refer to the company of Companion, but for example (special) transportation, travel itinerary, travel documents, special clothing, catering and/or stay, etc.

Articles

Article 1. Applicability

1.1 These Terms and Conditions apply to all offers issued or made by Cowboys 4 Angels, as well as to all Encounters and legal relationships related thereto. Derogations from these Terms and Conditions will exclusively apply if and insofar as these are expressly approved in writing by Cowboys 4 Angels.

1.2 Cowboys 4 Angels will always be entitled to adjust the text of these Terms and Conditions and to unilaterally amend the Terms and Conditions. In that case the new text of these Terms and Conditions will apply.

1.3 The Client will be deemed to agree to the exclusive applicability of these Terms and Conditions at the time of the coming into effect of each Encounter, unless Client and Cowboys 4 Angels have expressly agreed otherwise in writing.

1.4 If one or more of the provisions of these Terms and Conditions are void or might be declared void, the remaining provisions of these Terms and Conditions will remain fully applicable. In that case Cowboys 4 Angels and the Client will enter into consultation in order to agree on new provisions for the replacement of the void or voided provisions, whereby the purpose and meaning of the void or voided provision will be taken into account as far as possible.

1.5 The Client who has already concluded an Encounter with Cowboys 4 Angels will be deemed to tacitly agree to the applicability of these Terms and Conditions to later and/or additional Encounters of and/or services to the Client concerned.

Article 2. Registration, reachability and legality 

2.1  For discretion reasons, a general consultancy name will be listed for all electronic payments. This name is a registered tradename of Cowboys 4 Angels.

2.2  Client agrees that it cannot visit Cowboys 4 Angels at any physical address.

2.3 Cowboys 4 Angels can be reached in writing at the following email address:  info@cowboys4angels.com.

2.4   Cowboys 4 Angels can be reached by telephone 954-234-7546.

Article 3. Coming into effect of the Encounter

3.1 All offers or quotes made by Cowboys 4 Angels are without obligation, unless otherwise set out in the offer or quote.

3.2 An Encounter will only come into effect at the time when Cowboys 4 Angels has expressly accepted the Order or Assignment. The Encounter Confirmation from Cowboys 4 Angels will be deemed to correctly and completely represent the Encounter.

3.3 The Encounter will be instead of and will replace all earlier proposals, correspondence, arrangements, or other communication, made in writing or as the case may be verbally.

3.4 Cowboys 4 Angels, its directors and its staff reserve the right to refuse any Assignment at any time without notice or provocation, for whatever reason seems fit.

Article 4. Rates

4.1 All services offered by Cowboys 4 Angels are subject to a ___% sales tax.

4.2 The profile of each Companion lists an overview of the rate per maximum duration and per Encounter type. The duration of the Encounter which is decided in advance is the “pre-booked Encounter duration”. The Encounter can be extended to a desired duration. Only the additional price for the longer duration will be charged. If a Client wishes to terminate the Encounter prematurely, there is no refund.

Article 5. Payments

5.1 A deposit of 20% is due at the time of booking. The remaining balance must be made prior to or at the time of arrival in order for the encounter to continue.

5.2 Remaining balances paid electronically will incur a 5% fee

5.3 The availability of all payment options is not guaranteed and subject to availability. Cowboys 4 Angels can limit the payment options for a Client.

5.4 For discretion reasons, a general consultancy name will be listed for all electronic payments. This name is a registered trade name of Cowboys 4 Angels.

5.5 Refund policy: There is no right to restitution or refunds for payments made to a completed encounter. Deposits are non-refundable and non-transferable if an encounter is canceled by the Client within 24 hours of the encounter. In the event of a reasonable cancelation by Client at least 24 hours prior to the confirmed encounter, the deposit paid by Client may be used for a future encounter with the same Companion if used within 90 days of the original booking date, unless otherwise agreed upon in writing. If the two appointment charges differ, the non-refundable deposit may only be used for up to 20% of any appointment rate. If the Companion scheduled can not arrive to a confirmed appointment, due to unforeseen and extenuating circumstances, you will be notified with as much advance notice as possible and the deposit will be fully refunded.

5.6 In the event of default wherein a payment is declined or not made, the Client will be in default by operation of law, without further demand or notice of default being required for this purpose. Client will owe interest at the rate of 18% per annum If Cowboys 4 Angels decides to outsource a claim for collection, the Client is also required to pay all collection costs, including attorneys’ fees and costs, through any appeals.

5.7 If Cowboys 4 Angels is successful in judicial proceedings, all costs incurred by Cowboys 4 Angels related to these proceedings will be at the Client’s expense.

Article 6. Encounter requirements

6.1 An Assignment can be provided daily during Opening hours.

6.2 During an Encounter, no other people can be present unless in a public environment. Any persons expected to be present at the time of the encounter must be disclosed to agency staff at the time of booking.

6.3 If a Client fails to meet any requirement as stated in Article 6, he/she is offered a one time opportunity to make sure the requirement(s) is/are met within a reasonable timeframe. The time spend is at the expense of the Client. If a Client is unwilling or not capable to meet the requirement(s), the Encounter is immediately terminated without right to refund.

Article 7. Client requirements

7.1 Client will handle all communication surrounding Assignment and/or Encounter him/herself. It is not permitted to place an Assignment for an Encounter for third parties.

7.2 Client needs to be at least 21 years old. In case of doubt about the age of the Client during the Encounter, the Client will present a valid proof of identity to the Companion for inspection.

7.3 Client must refrain from possession and/or, the use of and/or being under the influence of large amounts of alcohol and/or drugs. The Client must refrain from demanding and/or encouraging the Companion to consume alcoholic beverages and/or use drugs.

7.4 Client will ensure that at the commencement of, end of and during the Encounter the Companion is accessible for Cowboys 4 Angels and has regular internet access.

7.5 Client will treat the Companion with respect during the Encounter and never force the Companion to perform acts that are in conflict with the Companion’s will or may otherwise be in conflict with the law.

7.6 Client will not ask for, demand or encourage sex or sexual acts.The contract with one of our Companions is limited to companionship services only. Fees reflect hourly rates for companionship services and not for sexual services of any kind. In no manner shall the client or the companion engage in the request of an exchange of sexual acts for money. Sexual acts are not contracted for, nor is requested to be contracted for, or compensated for in any manner.

7.7 Client will respect the privacy of the Companion and will amongst others things: Client will consider all information provided by Companion during the Encounter as confidential and treat it as such. Client is never permitted to make any audio, video or photo recordings of Companion. Client is never permitted to ask the Companion for their real name or undertake any attempt to obtain it. Client is never permitted to make direct contact with an Companion, to exchange contact details, or to disclose theirs to the Companion. Client is never permitted to inspect the private properties (and contents of these) of Companion, such as their (hand)bag, (hand)luggage and mobile phone. Client will not inspect, copy or make these his own in any way. Client shall only take Companion to social occasions after explicit permission from and thorough consultation with Cowboys 4 Angels and Companion. Client will allow Companion privacy during toilet- and bathroom use and telephone conversations of a personal nature and/or with Cowboys 4 Angels, and stay clear of the immediate vicinity of Companion during these. Client is never permitted to provide any details which may infringe on the privacy of Companion in any way in (public) reviews.

7.8 Client must always refrain from (any attempt to) misleading, harassment and/or other acts or comission which endanger the safety of Cowboys 4 Angels and/or the Companions engaged by it.

Article 8. Cancellation/change by Cowboys 4 Angels

8.1 In the event of a change or cancellation of the Encounter by Cowboys 4 Angels, the Client will be contacted as soon as possible.

8.2 Cowboys 4 Angels is always permitted to cancel, change or prematurely terminate a Encounter if: In the opinion of Cowboys 4 Angels, the identity, integrity and/or safety of the Companion can not be guaranteed during the Encounter or when traveling to the Encounter, Companion indicates he is not physically or mentally able to execute the Encounter, or the execution of the Encounter is against the will, desire or comfort of the Companion. Companion is not required to stay with, accompany or converse with any Client he does not wish to stay, accompany or converse with, nor is he required to provide any particular services.  Circumstances occur as a result of which it cannot be reasonably expected form Cowboys 4 Angels that it will fulfill its obligations of the Encounter. In the event that the Encounter has already commenced and the Companion wishes to terminate the Encounter prematurely, without there being any failure to comply with Article 6 and/or 7 by Client, the time that the Client already spent with Companion will be charged to the Client, with a minimum of the minimum Encounter duration of Companion at the location of the Encounter.

8.3 If the Encounter can only take place under changed circumstances, the Client is permitted to cancel the Encounter free of charge. Costs for Additional Service are at the Client’s expense. Cowboys 4 Angels and Companions are not liable for any direct or indirect damage suffered, or expenses incurred by the Client in the event of such a cancellation. This includes costs resulting from changing and/or cancelling the travel documents of the Companion.

Article 9. Impersonator

9.1 A Client who provides Cowboys 4 Angels with false information about himself, contact details and/or the location of the Encounter is known as an Impersonator.

9.2 A Client who repeatedly acts contrary to the Terms and Conditions herein is an Impersonator.

9.3 A Client who repeatedly places Assignments, without these resulting in an Encounter is an Impersonator.

9.4 A Client with outstanding payments towards Cowboys 4 Angels is an Impersonator.

9.5 A Client who has been warned by Companion and/or Cowboys 4 Angels not to request personal contact details of Companion and/or offers his own contact details to Companion is an Impersonator.

9.6 A Client who undertakes (any attempt to) deception, fraud, intimidation and/or any other unlawful act towards Cowboys 4 Angels and/or Companion is a Impersonator.

9.7   Cowboys 4 Angels reserves the right to terminate any Encounter or refuse future Encounters if the person is an Impersonator.

Article 10. Confidentiality and electronic security

10.1 All information of the Client which is available to Cowboys 4 Angels on the basis of its provision of service will be treated confidentially and will only be used for the execution of the service as agreed in an Encounter, as well as for optimizing the service related to any future Encounters.

10.2 Cowboys 4 Angels will (within reason) commit to protect the personal details of Client, and will use third party expertise to do so. Unless in the event of willful conduct by Cowboys 4 Angels, Cowboys 4 Angels cannot be held liable or responsible for the disclosure of these data.

10.3 To provide an optimal service, we use cookies on this Website. Cookies are small text, that a web page may store on a PC, tablet or mobile phone. This cookie can be retrieved during a later visit to the same site. The cookie cannot be read by a website other than the one that created it. The cookies used by this Website are anonymous. You also have the ability to configure your browser in such a way, that it warns you when cookies are created or your browser is being hindered.

10.4 This website may contain links to other websites. Cowboys 4 Angels is not responsible for the availability of, or any content or material contained on, or obtained through, any such websites. Any link to another website, and reference to third-party information, products or services linked to this website, is not, and should not be construed as, an express or implied endorsement by Cowboys 4 Angels. Any questions or comments relating to such other websites should be addressed to the operator or operators of those websites.

10.5 We are committed to protecting your privacy. Authorized employees within the company and our companion on a need to know basis only use any information collected from individual customers. We constantly review our systems and data to ensure the best possible service to our customers. We will investigate any such actions with a view to prosecuting and/or taking civil and/or penal proceedings to recover damages from those responsible.

10.6 Client records are regarded as confidential and therefore will not be divulged to any third party, other than the hostess you choose to meet (for organizational purposes only) and if legally required to do so to the appropriate authorities. Clients have the right to request sight of, and copies of any and all Client Records we keep, on the proviso that we are given reasonable notice of such a request. Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue Client’s with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties. We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail (Spam). Any emails sent by our Company will only be in connection with the provision of agreed services and products.

Article 11. Liability and Force Majeure

11.1 Cowboys 4 Angels cannot be held liable for direct or indirect damage caused by the use of this Website or through the by this Website provided information.

11.2 Unless in the case of intentional conduct or gross negligence, Cowboys 4 Angels and its Companions are not liable for any damage resulting from the execution of Encounters, or related to Encounters, regardless whether the claim isbased on another agreement or legal foundation.

11.3 Defects of whatsoever nature, disappointed expectations on the part of the Client, information on the Website or derogations from the information provided on the Website will give no right whatsoever to compensation (of damage) and/or setoff . Cowboys 4 Angels does not provide any guarantee towards the Client concerning the Client’s experience during the Encounter, partly due to the very personal nature of the service.

11.4 If Cowboys 4 Angels cannot, or cannot completely fulfill its obligations as a result of a cause or incident that cannot be attributed to Cowboys 4 Angels, or due to any other circumstance that is beyond Cowboy 4 Angels’ control, these obligations will be suspended until the time when Cowboys 4 Angels is capable again of fulfilling its obligations on the basis of an Assignment or Encounter. If Cowboys 4 Angels is unable to fulfill its obligations towards Client within a reasonable period, both Cowboys 4 Angels and the Client will have the right to cancel the Encounter, without Cowboys 4 Angels being obligated to compensate any damage on the part of the Client as a result of this cancellation. If Cowboys 4 Angels has already partially fulfilled its obligations or can only partially fulfill its obligations, Cowboys 4 Angels will be entitled to separately charge the Client for the part of the Encounter that has already been executed, and the Client will be obligated to pay this amount.

Article 12. Copyright, Trademark and other Intellectual Property Protection

12.1 The names Cowboys 4 Angels, the logos, the images, and all other Cowboys 4 Angels-related marks depicted on this Website, whether registered or unregistered, are trademarks or service marks of Cowboys 4 Angels.

12.2 Except when otherwise indicated, all materials on this Website, including, but not limited to, photographs, logos, other images, illustrations, text, video clips, audio clips and written and other materials contained on this Website are protected by copyright, trademarks and/or other intellectual property rights owned, or used with permission of their owners, by Cowboys 4 Angels or its subsidiaries or affiliates.

12.3 This Website as a whole is protected by copyright and other intellectual property rights. All rights are reserved.

12.4 The materials contained on this Website are displayed for informational and promotional purposes only. This Website is solely for the private, personal, non-commercial use by its users. You may not download or copy any materials on this Website. No right, title or interest in any material or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as expressly set forth above), publish, transmit, distribute, display, remove, delete, add to, otherwise modify, create derivative works from, sell or participate in any sale of, this Website, any of the materials on this Website, or any related software. Article 13. Applicable law and choice of forum

This Agreement, Terms and Conditions and Encounters shall be governed by and construed in accordance with the laws of the State of Florida.  With respect to any suit, action, or proceeding relating to this Agreement or the transactions contemplated hereby, each Party irrevocably submits to the jurisdiction of the Circuit Courts of the State of Florida located in Palm Beach County and waives any objection that it may have at any time to the laying of venue for such proceedings in such Circuit Courts, waives any claim that such suit, action, or proceeding has been brought in an inconvenient forum, and further waives the right to object to such Circuit Courts’ jurisdiction over such Party.  Each Party hereto expressly and irrevocably waives trial by jury in any suit, action, or proceeding in relation to this Agreement and for any counterclaim therein.

Covid International Travel Addendum

While our gentlemen love to accommodate international travel, certain situations are precarious with the introduction of Covid. As such, we have to consider the matter of international travel restrictions. Currently, most international flights require a negative covid test within 24 hours of reentering the US. It will be the client’s responsibility to secure a test for the companion contracted within that time period. If the companion’s test returns positive, the client will be responsible for making sure the companion has adequate housing for the quarantine period and $1000 per day stipend if the companion is alone, or the companion’s full 24 hour website rate if the client is present for the quarantine period. This will be paid to the agency at the time quarantine is mandated.

The contract with one of our Companions is limited to companionship services only. Fees reflect hourly rates for companionship services and not for sexual services of any kind. In no manner shall the client or the companion engage in the request of an exchange of sexual acts for money. Sexual acts are not contracted for, nor is requested to be contracted for, or compensated for in any manner. By confirming your encounter with a deposit, you acknowledge that you understand that the agency and owner of cowboys4angels will not make any exceptions to the above stated rules and will strictly adhere to them.
